Purpose of this Addendum

This Addendum supplements and forms part of the Software Development Agreement TC/AGR/2026/001 dated 25 March 2026. It records the Parties' mutual response to the Client's comments dated 26 April 2026. Where this Addendum conflicts with the original Agreement, this Addendum shall prevail.

Revised Build Sequence

Refers to Client comments on Phase 1, 2 and 3 ordering.

The Client has requested the build order to follow Phase 3 → Phase 2 → Phase 1, prioritising the AI Matching demo. After technical review, the Developer recommends the following hybrid sequence, which preserves the Client's intent (early demo of AI Matching) without breaking system dependencies:

Why Phase 1 cannot be moved to last: AI Matching, portals and proposal generation all read from the same data entities — visitors, project briefs, suppliers, designers and renovators. These entities are defined and persisted by Phase 1. Building the dependent layers first would require throw-away mock infrastructure and significant rework. The hybrid schedule above gives the Client an early demonstrable AI Matching screen in Sprint 1–2 while keeping the production build sound.

AI Tools for Designer Trial Run

Refers to Client request: “Recommend any AI tools available to let Designer start the trial run — start do design.”

The Developer recommends the following AI-assisted tools so the Client's in-house designer can begin producing UI mockups and design assets in parallel with development. All tools listed are commercially available with free or low-cost tiers and do not introduce additional licensing costs to this Agreement.

Updated Confidentiality Clause

Refers to Client comment on Section 10 (Confidentiality) of the original Agreement.

Section 10 of the original Agreement is hereby deleted in its entirety and replaced with the following clause, as proposed by the Client and accepted by the Developer:

10. Confidentiality (Revised)

The Developer shall keep strictly confidential all information, materials, data, source code, system architecture, business processes, and any other proprietary or sensitive information (collectively, the “Confidential Information”) obtained or accessed in connection with the project.

The Developer shall not, without the prior written consent of the Client:

(a) disclose, publish, or communicate any Confidential Information to any third party; or

(b) use the Confidential Information for any purpose other than the performance of its obligations under this Agreement.

The Developer shall take all reasonable measures to protect the confidentiality of such information and shall ensure that its employees, agents, or subcontractors (if any) are bound by similar confidentiality obligations.

This obligation shall survive during the development, the completion, termination, or expiration of this Agreement.

All other provisions of Section 9 (Intellectual Property Rights) and Sections 1–8 of the original Agreement remain unchanged.

Social Marketing Automation — Phase 4 Proposal

Refers to Client request for complimentary AI Automation for Social Marketing (Section 6, Financial Terms).

The Developer has carefully reviewed the Client's request to bundle an AI Social Marketing Automation system (auto content generation, multi-platform posting, ad management, analytics & strategy adjustment) at no additional cost. We respectfully wish to clarify the following:

  • The current Agreement (RM 200,000) covers the Visitor Management & B2B Marketplace platform only. Marketing automation falls outside the defined Scope of Work in Section 3.
  • Marketing automation requires a separate technology stack (Gumloop / n8n, LLM APIs, Meta / TikTok / Google Ads APIs) and ongoing third-party API costs not included in the current budget.
  • Social platform APIs change frequently; ongoing maintenance is material and must be budgeted explicitly.

Recommendation: Begin with Option A (complimentary consulting) so the Client can validate the Gumloop approach on the new platform without committing further budget. Options B and C remain available at any point during or after Phase 1–3 delivery. The Parties may discuss this further face-to-face as proposed by the Client.

Acknowledgement & Signatures

By signing below, both Parties acknowledge that they have read, understood and agreed to the modifications recorded in this Addendum, which shall form part of and be read together with the original Software Development Agreement (TC/AGR/2026/001).

Effective date of this Addendum: upon signature by both Parties.
